Entire Agreement – This Purchase Order (“PO”) is the entire agreement between Buyer and Supplier for the goods and/or services described. Any additional or conflicting terms in Supplier’s documents are rejected unless expressly agreed in writing by Buyer.
Price & Payment – Prices are firm and include all charges unless otherwise stated in this PO. Payment will be made according to the PO terms after receipt and acceptance of conforming goods/services and a valid invoice. All payments under these Terms and Conditions shall be made exclusively in either Euros (EUR) or United States Dollars (USD), as specified in the applicable Purchase Order, unless expressly agreed in writing.
Delivery – Supplier shall deliver to the location and on the date specified in this PO. Title and risk of loss transfer to Buyer upon delivery and acceptance. Time is of the essence.
Inspection & Acceptance – Buyer may inspect goods/services upon receipt. Buyer may reject any nonconforming goods/services and require replacement, correction, or refund at Supplier’s expense.
Warranty – Supplier warrants that goods/services conform to the specifications, are free from defects, and are fit for their intended purpose. This warranty is in addition to any statutory warranties required under French law, including the legal warranty of conformity and the warranty against hidden defects.
Compliance – Supplier shall comply with all applicable laws and regulations, including French and EU safety, labor, environmental, and data protection (GDPR) requirements.
Cancellation – Buyer may cancel all or part of this PO (a) for convenience, upon reasonable notice, subject to payment for conforming goods/services supplied before cancellation, or (b) immediately for cause in the event of Supplier’s breach.
Force Majeure – Neither party shall be liable for delays or failures caused by force majeure events as defined under Article 1218 of the French Civil Code, provided written notice is given promptly.
Governing Law & Jurisdiction – This PO is governed by and construed in accordance with the laws of France. Any disputes which cannot be settled amicably between the Parties shall be submitted to the exclusive jurisdiction of the courts of Paris, France.
